Terms of Service

Scout identifies independent retail businesses suited to a brand, generates and sends outreach on the brand’s behalf, processes replies, and assists in arranging meetings. Brands and venues may then communicate and agree terms through the platform. The service is directed at independent and small-format retail and is not intended for large chain or big-box buyers.

• You must be at least 18 years old and use the platform for business purposes. If you accept these terms on behalf of an entity, you confirm that you are authorised to bind it.
• You are responsible for keeping your credentials and connected integrations secure, and for the accuracy of the information you provide.
• You are responsible for all activity under your account, including that of your personnel.

New brand accounts receive their first two meetings at no charge. Billing does not commence until two qualifying meetings have been delivered, and we will continue to provide the service at no charge until they are.

Following the initial meetings, the service is provided on a monthly subscription basis for the plan selected, billed in advance and renewing automatically each period until cancelled. Payments are handled by a third-party payment processor.

Fees are quoted and charged in United States dollars, and are exclusive of applicable taxes, which are added where required. The service is supplied from India to recipients outside India and is provided as an export of services.

We may amend fees on notice prior to the renewal to which the amendment applies. You may cancel before that renewal if you do not wish to continue at the amended fee.

Billing queries must be raised within 15 days of the invoice date. Where an error is confirmed, the amount will be credited within 7 to 10 business days. You agree to raise billing queries with us before initiating a chargeback.

You may cancel at any time by written request to support@getagentworks.com. No notice period applies and no cancellation fee is charged. Access continues until the end of the period already paid for, and no further charge is made.

Fees for a billing period that has commenced are not refundable, including where cancellation occurs during that period. The initial meetings provided under section 03 are intended to allow evaluation of the service before any payment is made.

You must not:

• Use the platform for any unlawful, deceptive or harassing purpose.
• Misrepresent your identity, your business, or the products you offer.
• Export, sell, share or otherwise redistribute venue contact information outside the platform, or use it for any purpose other than your own outreach conducted through the platform.
• Upload material you do not have the right to use, or the confidential information of any third party.
• Scrape, copy, reverse-engineer or resell any part of the platform or its data.
• Interfere with the operation or security of the platform or with other users.

Venue contact information is licensed to you for use within the platform, for your own outreach, for the duration of your account. No ownership in that information passes to you.

You are the sender of campaign messages generated and sent on your behalf. You are responsible for compliance with the laws applicable to commercial electronic messages in the jurisdictions of your recipients, including the CAN-SPAM Act in the United States. This includes accurate sender identification, non-misleading subject lines, and giving effect to opt-out requests.

The platform is designed to assist with these obligations, including by ceasing contact with recipients who unsubscribe, ask not to be contacted, or report a message as spam. Responsibility for messages sent in your name remains with you.

Venues may hold an account at no charge, which permits access to messages received, communication with brands, and management of stated interests.

Whether or not you hold an account, you may request at any time that we cease contacting you and remove your business contact details from our database. You must not use the platform to harass any person or to misrepresent your business.

We facilitate introductions and provide a means of communication. We are not a party to any agreement between a brand and a venue, act as broker or agent for neither, and take no commission on any transaction.

We do not verify representations made by either party, do not guarantee performance, and do not process payments between them. Terms agreed between a brand and a venue, and any dispute arising from them, are the responsibility of those parties, who transact at their own risk.

Messages, replies and recommendations are generated using artificial intelligence and may be inaccurate. Such output constitutes a suggestion and not advice.

You may review drafts prior to sending. Where you enable automated sending, messages are sent in your name without prior review, and you remain responsible for them.

We retain all rights in the platform, the underlying software, and the Agentworks and Scout names and marks. You are granted a limited, non-exclusive, non-transferable right to use the platform for the duration of your account.

You retain ownership of the content you provide and grant us the rights necessary to operate the platform and provide the service to you. Our Privacy Policy sets out how that content is handled, including in relation to model training.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, whether or not foreseeable.

Our aggregate liability in respect of any claim arising from the platform is limited to the amount paid by you in the twelve months preceding the claim. Where no amount has been paid, our liability is limited to resupply of the service.

You will indemnify us against claims, damages and reasonable costs arising from your use of the platform, the content you provide, messages sent in your name, your dealings with venues or brands, and any breach of these terms by you or your personnel.

You may cease using the platform at any time. We may suspend or terminate an account that breaches these terms, is used unlawfully, or presents a risk to the platform, its sending reputation, or other users, and where we are required by law to do so. Where circumstances reasonably permit, we will give notice and an opportunity to remedy.

On termination, access ends and information is handled as described in our Privacy Policy. Provisions which by their nature should survive termination, including those relating to fees payable, disclaimers, limitation of liability and indemnity, continue to apply.

We may amend these terms from time to time. The amended terms will be posted on this page with an updated date, and account holders will be notified directly of material changes before they take effect. Continued use of the platform following that date constitutes acceptance.

These terms are governed by the laws of India, and the courts of Faridabad, Haryana have exclusive jurisdiction in respect of any dispute arising from them.

Nothing in this section limits any consumer or data protection right available to you under the law of the jurisdiction in which you reside or conduct business, including under the California Consumer Privacy Act and the CAN-SPAM Act where applicable.
